1. Introduction
1.1 These Supplier Terms and Conditions govern the relationship between Trade Rede and Suppliers who sell goods to Trade Rede for resale to Buyers.
1.2 Trade Rede is the Merchant of Record. Suppliers sell goods to Trade Rede, not directly to Buyers.
1.3 Trade Rede purchases products from Suppliers and resells them to Buyers on the Platform.
2. Definitions
2.1 "Platform" means the Trade Rede website, mobile application, and any related services.
2.2 "Supplier" means a business entity that sells goods to Trade Rede for resale to Buyers.
2.3 "Buyer" means a business entity that purchases goods through the Platform from Trade Rede.
2.4 "Order" means a purchase request submitted by a Buyer through the Platform.
3. Purchase by Trade Rede
3.1 When a Buyer places an Order and pays Trade Rede in full, Trade Rede purchases the products from the Supplier at the agreed price.
3.2 The Supplier is contractually obligated to deliver the products to the Buyer on behalf of Trade Rede.
3.3 Title to the products passes to Trade Rede upon delivery to the Buyer.
4. KYC and Verification
4.1 Suppliers must undergo KYC verification by Trade Rede before they can begin selling.
4.2 KYC documents include: (a) GST Certificate; (b) PAN Card; (c) Business Address Proof; (d) Bank Account Details; (e) Product Catalog.
4.3 Trade Rede reserves the right to approve or reject any Supplier application at its sole discretion.
5. Product Specifications and Pricing
5.1 Suppliers must provide accurate product specifications, pricing, and availability.
5.2 Trade Rede reserves the right to adjust pricing to maintain competitive margins.
5.3 Suppliers warrant that they have the legal right to sell the products to Trade Rede.
6. Order Fulfillment
6.1 Suppliers must fulfill Orders promptly and in accordance with agreed specifications.
6.2 Suppliers are responsible for: (a) product quality and authenticity; (b) packaging and shipping; (c) timely delivery to Buyers on behalf of Trade Rede.
6.3 Suppliers shall notify Trade Rede immediately of any inability to fulfill an Order.
7. Invoice Upload
7.1 Suppliers must upload a proper GST invoice for every Order.
7.2 The invoice must be in the Buyer's name.
7.3 The invoice must include: (a) Buyer's GST number; (b) Supplier's GST number; (c) product details (name, quantity, price); (d) total amount and GST amount; (e) invoice number and date.
7.4 The Order cannot move to "Shipped" until the invoice is uploaded.
8. Payment to Supplier (After Buyer Confirmation)
8.1 Trade Rede shall pay the Supplier ONLY AFTER the Buyer confirms delivery within 24 hours.
8.2 Payment shall be made within the agreed timeline after Buyer confirmation.
8.3 If the Buyer does not confirm delivery within 24 hours, the products shall be deemed accepted.
8.4 Trade Rede may withhold payment if the Buyer reports defects or non-compliance.
9. Returns and Defective Products (24-Hour & 7-Day Rules)
9.1 If a Buyer returns a product due to defects or non-compliance within 24 hours of delivery: (a) Trade Rede shall inform the Supplier; (b) the Supplier must accept the return at their cost; (c) Trade Rede shall deduct the cost from the Supplier's payment; (d) Trade Rede shall refund the Buyer or arrange a replacement.
9.2 Suppliers shall reimburse Trade Rede for any refunds issued to Buyers due to: (a) defective products; (b) incorrect products; (c) delayed delivery; (d) non-compliance with specifications.
10. Supplier Representations and Warranties
10.1 You represent and warrant that: (a) you are a registered business entity with valid GST; (b) you have the right to sell the products to Trade Rede; (c) products are free from defects and comply with specifications; (d) products comply with all applicable laws and regulations.
11. Indemnification
11.1 Suppliers shall indemnify Trade Rede against any claims, losses, or liabilities arising from: (a) defective products; (b) product safety issues; (c) infringement of third-party rights; (d) non-compliance with applicable laws.
12. Governing Law and Dispute Resolution
12.1 These Supplier Terms shall be governed by the laws of India.
12.2 Any dispute shall be subject to the exclusive jurisdiction of the courts in Guwahati, Assam.
