1. Introduction
1.1 These Buyer Terms and Conditions govern the purchase of goods by Buyers through the Trade Rede B2B procurement platform ("Platform").
1.2 Trade Rede is the Merchant of Record. When you place an order on the Platform, you are purchasing from Trade Rede, not directly from the Supplier.
1.3 Trade Rede purchases products from Suppliers and sells them to Buyers, acting as the principal in the transaction.
2. Definitions
2.1 "Platform" means the Trade Rede website, mobile application, and any related services.
2.2 "Buyer" means a business entity that purchases goods through the Platform.
2.3 "Supplier" means a business entity that sells goods to Trade Rede for resale to Buyers.
2.4 "Order" means a purchase request submitted by a Buyer through the Platform.
2.5 "Delivery Confirmation" means the Buyer's acknowledgment that the delivered products are of acceptable quality.
3. Purchase Contract
3.1 When you place an Order on the Platform, you are entering into a contract with Trade Rede, not the Supplier.
3.2 Trade Rede is responsible for fulfilling your Order, including delivery and returns.
3.3 Your purchase is subject to these Buyer Terms.
4. Payment
4.1 Buyers must pay 100% of the Order amount in advance to Trade Rede at the time of placing the Order.
4.2 Payment is due immediately upon Order placement.
4.3 Trade Rede accepts payment through integrated payment gateways.
4.4 All prices are inclusive of applicable taxes unless stated otherwise.
4.5 Trade Rede will only proceed with the Supplier transaction after receiving full payment from the Buyer.
5. Order Processing
5.1 Upon receiving full payment from the Buyer, Trade Rede will place the Order with the Supplier.
5.2 Trade Rede shall confirm the Order to the Buyer and provide estimated delivery timelines.
5.3 Trade Rede reserves the right to cancel any Order if the Supplier is unable to fulfill it.
6. Delivery
6.1 Trade Rede arranges delivery of products through its Supplier network.
6.2 Delivery timelines shall be communicated at the time of Order placement.
6.3 Trade Rede shall notify Buyers of any delays in delivery.
6.4 Risk of loss or damage passes to Trade Rede upon delivery to the Buyer.
7. Inspection and Delivery Confirmation (24-Hour Rule)
7.1 Buyers must inspect the delivered products immediately upon receipt.
7.2 Buyers must confirm delivery within 24 hours of receiving the products.
7.3 Confirmation can be done through the Buyer Dashboard on the Platform.
7.4 If the Buyer does not confirm delivery within 24 hours, the products shall be deemed accepted and of satisfactory quality.
7.5 Once the Buyer confirms delivery, Trade Rede shall release payment to the Supplier.
8. Returns and Refunds (7-Day Rule)
8.1 If a product is defective, damaged, or does not conform to the Order specifications, the Buyer must notify Trade Rede within 24 hours of delivery.
8.2 Trade Rede shall arrange for return of the product to the Supplier.
8.3 Upon receipt and inspection of the returned product, Trade Rede shall: (a) issue a full refund to the Buyer within 7 working days, or (b) arrange for a replacement product (if feasible).
8.4 Refunds shall be processed to the original payment method within 7 working days.
8.5 If replacement is not feasible, a full refund shall be issued.
9. Buyer Representations and Warranties
9.1 You represent and warrant that: (a) you are a business entity with valid GST registration; (b) you have the authority to bind the business entity you represent; (c) all information provided by you is accurate and complete; (d) you will inspect products and confirm delivery within 24 hours.
10. Limitation of Liability
10.1 The Platform is provided on an "as is" and "as available" basis.
10.2 Trade Rede's total liability shall not exceed the total amount paid by the Buyer for the specific Order.
10.3 Trade Rede shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
11. Governing Law and Dispute Resolution
11.1 These Buyer Terms shall be governed by the laws of India.
11.2 Any dispute shall be subject to the exclusive jurisdiction of the courts in Guwahati, Assam.
