Terms & Conditions

These master Terms apply to everyone using Trade Rede. Role-specific trading terms — covering payment, delivery, returns and disputes — are versioned separately and accepted in-app.
1. Acceptance of terms
These Terms & Conditions ("Terms") govern your access to and use of the Trade Rede platform, including our website, dashboards, APIs and any related services (the "Platform").
By creating an account, browsing the marketplace or transacting on the Platform, you confirm that you have read, understood and agreed to these Terms and to our Privacy Notice and Cookie Policy.
If you act on behalf of a business, you confirm you are authorised to bind that business to these Terms.
2. About Trade Rede
Trade Rede is a B2B procurement network that connects manufacturers, wholesalers, distributors and retailers. It is not a consumer e-commerce store.
Trade Rede operates as Merchant of Record for orders placed on the Platform: buyers purchase from Trade Rede, and Trade Rede purchases from verified suppliers.
3. Eligibility and accounts
Accounts are available to registered businesses and to individuals who can form a legally binding contract under the Indian Contract Act, 1872.
You must provide accurate registration, GST and KYC information, keep it current, and keep your credentials confidential. You are responsible for all activity under your account.
Trade Rede may refuse, suspend or terminate an account where information is false, verification fails, or these Terms are breached.
4. Verification and KYC
Buyers, suppliers and partners must complete role-specific verification before transacting. Trade Rede may request GST certificates, PAN, identity documents, address proof and bank details.
Verification decisions are made at Trade Rede's discretion. Verified status may be withdrawn if documents expire, are found to be invalid, or compliance obligations are not met.
5. Quotations, orders and pricing
Listings, quotations and indicative prices are invitations to transact and do not constitute a binding offer until an order is confirmed on the Platform.
Orders are payable in full in advance unless Trade Rede has agreed credit terms in writing. Applicable GST is charged based on place of supply.
Delivery is confirmed through the Platform, including OTP-based delivery confirmation where applicable. Supplier settlement follows buyer confirmation.
6. Invoices, taxes and records
Suppliers must issue a valid GST tax invoice for every order. Trade Rede verifies invoices for GSTIN accuracy, tax type, rate and value before dispatch or settlement.
You are responsible for your own tax filings. Trade Rede retains transaction and tax records for the periods required by Indian law.
7. Acceptable use
You must not misuse the Platform, including by posting false listings, infringing third-party rights, uploading malware, scraping data, circumventing verification, attempting unauthorised access, or using the Platform for unlawful goods or money laundering.
You must not harvest, resell or repurpose contact details of other users obtained through the Platform.
8. Intellectual property
The Platform, its software, design, trademarks and content are owned by Trade Rede or its licensors. You receive a limited, revocable, non-transferable licence to use the Platform for your own procurement or selling activity.
You retain rights in the content you upload and grant Trade Rede a licence to host, display and process it to operate the Platform.
9. Privacy and data protection
Personal data is processed as described in our Privacy Notice, in line with the Digital Personal Data Protection Act 2023 and the DPDP Rules 2025. Trade Rede acts as Data Fiduciary.
You may withdraw consent, request access, correction or erasure, and raise grievances from Account settings → Privacy.
10. Disputes between users
Quality, quantity, delay and non-delivery issues must be raised through the Platform's dispute workflow within the timelines stated in the role-specific terms.
Trade Rede coordinates resolution, may withhold supplier settlement pending outcome, and may issue refunds or replacements as Merchant of Record.
11. Suspension and termination
You may close your account at any time from Account settings, subject to completion of open orders and statutory record retention.
Trade Rede may suspend or terminate access for breach of these Terms, fraud signals, failed verification or legal requirement, with notice where practicable.
12. Disclaimers and limitation of liability
The Platform is provided on an "as is" and "as available" basis without warranties of uninterrupted or error-free operation.
To the maximum extent permitted by law, Trade Rede's aggregate liability for any claim is limited to the amount paid for the specific order giving rise to the claim. Trade Rede is not liable for indirect, incidental, special, consequential or punitive losses, including loss of profit or goodwill.
13. Indemnity
You agree to indemnify Trade Rede against claims, losses, liabilities and reasonable legal costs arising from your breach of these Terms, your listings or goods, your tax or regulatory non-compliance, or your infringement of third-party rights.
14. Changes to these terms
Trade Rede may update these Terms. Material changes are notified in-app or by email, and continued use after the effective date constitutes acceptance. Role-specific terms are versioned separately and re-accepted when they change.
15. Governing law and jurisdiction
These Terms are governed by the laws of India. The courts at Guwahati, Assam have exclusive jurisdiction over any dispute, subject to any mandatory consumer or arbitration provisions that apply.
