1. Introduction
1.1 These Partner Terms and Conditions govern the participation of individuals or entities in the Trade Rede Partner Program.
1.2 By participating in the Program, you agree to be bound by these Partner Terms.
2. Definitions
2.1 "Program" means the Trade Rede Partner/Affiliate Program.
2.2 "Partner" means an individual or entity that participates in the Program to refer Buyers or Suppliers to the Platform.
2.3 "Commission" means the compensation payable to the Partner for successful referrals.
2.4 "Qualified Referral" means a referral that results in a successful transaction on the Platform.
3. Eligibility
3.1 Participation in the Program is open to individuals and entities who can form legally binding contracts under the Indian Contract Act, 1872.
3.2 Partners must provide accurate information during registration.
3.3 Trade Rede reserves the right to accept or reject any Partner application at its sole discretion.
4. Partner Role and Responsibilities
4.1 Partners shall refer Buyers or Suppliers to the Platform through their unique referral links or codes.
4.2 Partners shall not engage in spam, misleading, or fraudulent referral practices.
4.3 Partners shall not misrepresent the Platform, its services, or the benefits of the Program.
4.4 Partners shall comply with all applicable laws and regulations.
5. Commission Structure
5.1 Commission rates shall be communicated to Partners separately.
5.2 Commissions are payable only for Qualified Referrals.
5.3 Trade Rede reserves the right to withhold or reverse commissions in case of fraudulent activity.
6. Tracking and Reporting
6.1 Referrals shall be tracked through unique referral links or codes.
6.2 Partners may access their referral performance and commission reports through the Partner dashboard.
6.3 Trade Rede's tracking systems shall be final and binding.
7. Payment
7.1 Commissions shall be paid in accordance with the payment terms communicated to Partners.
7.2 Partners are responsible for all applicable taxes on their Commission payments.
7.3 Trade Rede reserves the right to set minimum payout thresholds.
8. Prohibited Activities
8.1 Partners shall not: (a) engage in spam or unsolicited emails; (b) misrepresent the Platform or the Program; (c) use fraudulent or deceptive practices; (d) violate any applicable laws or regulations.
9. Suspension and Termination
9.1 Trade Rede reserves the right to suspend or terminate a Partner's account for: (a) fraudulent referral practices; (b) violation of these Partner Terms; (c) misrepresentation of the Platform or Program; (d) violation of applicable laws.
10. Governing Law and Dispute Resolution
10.1 These Partner Terms shall be governed by the laws of India.
10.2 Any dispute shall be subject to the exclusive jurisdiction of the courts in Guwahati, Assam.
